Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Gasket Agent application (the “Service”) operated by Seals Guy LLC (“Seals Guy,” “we,” “us,” or “our”). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Accounts

The Service is provided to Seals Guy employees, contractors, and authorized business partners. Accounts are provisioned by an administrator. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at tech-partner@sealsguy.com if you suspect unauthorized access.

2. License

Subject to these Terms, Seals Guy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for the internal business purposes of Seals Guy and its customers. All rights not expressly granted are reserved.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law, regulation, or third-party right;
• Attempt to gain unauthorized access to the Service, other users’ accounts, or any non-public system or data;
• Interfere with, disrupt, probe, or stress-test the Service or the infrastructure that supports it;
• Reverse engineer, decompile, or copy any portion of the Service except to the extent expressly permitted by law;
• Upload content that is unlawful, infringing, defamatory, or contains malware;
• Use the Service to send unsolicited messages or otherwise abuse the email, AI, or third-party-integration features.

4. Third-Party Services

The Service integrates with third-party services including QuickBooks Online (Intuit), Google Drive (Google), Resend, Anthropic, Voyage AI, and others. Your use of those services is governed by the providers’ own terms and privacy policies. Seals Guy is not responsible for the availability or behavior of third-party services. When an administrator connects QuickBooks Online or Google Drive, they authorize Seals Guy to read and write data on behalf of the connected account within the scopes described in our Privacy Policy.

5. AI Identification

The Service uses artificial intelligence to suggest gasket profiles from photographs. AI suggestions are decision-support, not professional advice or guaranteed identifications. You are responsible for verifying any AI suggestion before relying on it for ordering, billing, or installation. Use of the in-app feedback controls (correct / incorrect) helps the system improve.

6. Your Content

You retain ownership of any content you submit (e.g., photographs, customer records, order details). You grant Seals Guy a worldwide, royalty-free license to host, process, transmit, display, and otherwise use that content as necessary to provide the Service, including transmitting it to the third-party processors listed in the Privacy Policy. You represent that you have all rights necessary to grant this license.

7. Service Availability and Changes

We strive to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. Scheduled maintenance and material changes will be communicated when feasible.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Seals Guy does not warrant that the Service will be uninterrupted, error-free, or that AI suggestions will be accurate.

9. Limitation of Liability

To the maximum extent permitted by law, in no event will Seals Guy or its officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms or the Service. Seals Guy’s aggregate liability arising from or relating to these Terms will not exceed one hundred U.S. dollars (US$100).

10. Indemnification

You agree to defend, indemnify, and hold harmless Seals Guy and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of applicable law.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and dispute resolution) will survive.

12. Governing Law

These Terms are governed by the laws of the State in which Seals Guy LLC maintains its principal place of business, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in that State, and the parties consent to personal jurisdiction there.

13. Changes to these Terms

We may revise these Terms from time to time. We will update the effective date above and, when changes are material, provide notice through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
