End User License Agreement

This End User License Agreement (this “Agreement”) is a binding agreement between you (“User” or “you”) and Seals Guy LLC, a limited liability company (“Seals Guy,” “we,” “us,” or “our”), governing your access to and use of the Gasket Agent application and any related software, interfaces, documentation, content, or updates we make available (collectively, the “Software”).

The Software is the proprietary internal business application of Seals Guy. It is licensed, not sold, and is made available only to authorized users for Seals Guy’s internal business purposes. By signing in or otherwise accessing the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not access or use the Software.

1. Authorized Users

Access to the Software is restricted to current Seals Guy employees, contractors, and business partners who have been provisioned a user account by an authorized Seals Guy administrator (“Authorized Users”). User accounts are personal to the individual to whom they are issued and may not be shared, transferred, or used by anyone else.

2. License Grant

Subject to your continuous compliance with this Agreement, Seals Guy grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely:

• to perform your job duties or contractual obligations for the benefit of Seals Guy and its customers; and
• in accordance with this Agreement and any internal policies, training, or instructions provided to you by Seals Guy.

All rights not expressly granted to you in this Agreement are reserved by Seals Guy and its licensors.

3. Restrictions

You will not, and will not permit any third party to:

• use the Software for any personal, non-business, competitive, or other unauthorized purpose;
• copy, modify, adapt, translate, or create derivative works of the Software, except as expressly permitted in writing by Seals Guy;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying ideas of the Software, except to the extent that such activities cannot be lawfully restricted;
• rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make the Software available to any third party;
• remove, alter, or obscure any proprietary notices (including copyright, trademark, or confidentiality markings) on or in the Software;
• use the Software to develop, train, benchmark, or improve a competing product or service;
• access or attempt to access portions of the Software you are not authorized to use, or use the Software in a manner that interferes with its operation or security;
• upload to the Software any material that is unlawful, infringing, defamatory, harmful, contains malware, or violates the rights of any third party.

4. Confidentiality

The Software, your account credentials, the data you access through the Software, and any non-public information about Seals Guy, its customers, pricing, methods, or vendors that you observe while using the Software are confidential information of Seals Guy (“Confidential Information”). You will:

• hold Confidential Information in strict confidence and protect it with at least the same degree of care you use for your own confidential information of like importance, and in no event less than reasonable care;
• use Confidential Information only as necessary to perform your duties for Seals Guy;
• not disclose Confidential Information to any third party (including other employees who do not have a legitimate need to know) without authorization;
• promptly notify Seals Guy of any actual or suspected unauthorized access, disclosure, or loss.

5. Ownership

As between you and Seals Guy, Seals Guy and its licensors own all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not grant you any ownership interest in the Software. Any feedback, suggestions, or improvements you provide regarding the Software may be used by Seals Guy without restriction or compensation.

6. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You will use a strong, unique password, enable any multi-factor authentication made available, and immediately notify Seals Guy at tech-partner@sealsguy.com of any actual or suspected unauthorized use of your account.

7. Third-Party Services

The Software integrates with third-party services including but not limited to QuickBooks Online (Intuit Inc.), Google Drive, Anthropic, Voyage AI, Resend, Supabase, Vercel, Railway, and Sentry. Your use of those services through the Software is subject to the providers’ own terms and policies. Seals Guy is not responsible for third-party services and makes no representation regarding their availability or behavior.

8. AI Output

The Software uses artificial-intelligence models to suggest gasket identifications, descriptions, and other inferences from photographs and text. AI output is decision-support, not a guaranteed identification or professional advice. You are responsible for reviewing and verifying any AI output before relying on it for ordering, billing, installation, or any customer-facing communication. Use of the in-application feedback controls (mark correct / incorrect) is encouraged and helps the system improve.

9. Updates

Seals Guy may update, modify, suspend, or discontinue all or part of the Software at any time, with or without notice. Updates are deemed part of the Software and subject to this Agreement.

10. Termination

This Agreement and the license granted under it terminate automatically, without notice, upon: (a) the end of your employment, engagement, or authorization to use the Software; (b) any breach of this Agreement by you; or (c) Seals Guy’s decision to terminate your access for any reason. On termination you will: (i) immediately cease all use of the Software; (ii) return or, if directed, securely destroy any Confidential Information in your possession; and (iii) cooperate with Seals Guy to revoke any credentials, tokens, or device access associated with your account. Sections 3, 4, 5, and 8 through 15 survive termination.

11. Disclaimer of Warranties

The Software is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. Seals Guy does not warrant that the Software will be uninterrupted, secure, or error-free, or that AI output will be accurate or complete.

12. Limitation of Liability

To the maximum extent permitted by law, in no event will Seals Guy or its affiliates, officers, employees, agents, or licensors be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or use, arising out of or in connection with this Agreement or your use of the Software, even if advised of the possibility of such damages. The aggregate liability of Seals Guy under or in connection with this Agreement will not exceed one hundred U.S. dollars (US$100).

13. Indemnification

You will defend, indemnify, and hold harmless Seals Guy and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your breach of this Agreement, your misuse of the Software, or your violation of applicable law.

14. Compliance with Law

You will comply with all applicable federal, state, and local laws and regulations in your use of the Software, including those relating to privacy, data protection, intellectual property, and export controls. You will not export, re-export, or transfer the Software in violation of any U.S. export law or regulation.

15. Governing Law and Disputes

This Agreement is governed by the laws of the State in which Seals Guy LLC maintains its principal place of business, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this Agreement will be brought exclusively in the state or federal courts located in that State, and the parties consent to personal jurisdiction there.

16. General

This Agreement, together with the Privacy Policy and any written internal policies that apply to your employment or engagement, is the entire agreement between you and Seals Guy regarding the Software and supersedes any prior or contemporaneous understandings on the subject. If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect. Failure to enforce any provision is not a waiver of future enforcement. You may not assign this Agreement; Seals Guy may assign it without notice or consent. Seals Guy may update this Agreement from time to time by posting the revised version in the Software. Continued use after changes take effect constitutes acceptance.
